Senior Manager, Transaction and Regulatory Advisory Practice at New York

Job Description

Our Transaction and Regulatory Advisory Practice professionals drive the successful completion of client engagements through the consultations on a number of client issues such as US GAAP, IFRS and SEC compliance matters, financial reporting, purchase accounting for M&A transactions, merger integration, audit readiness and IPO preparation. SolomonEdwardsGroup, LLC (SEG) serves a global clientele with a concentration in serving private equity and venture capital firms, their portfolio companies, publicly traded companies and organizations experiencing ownership change transactions including mergers, acquisitions, leveraged buy-outs, private equity investments and initial public offerings (IPOs). Responsibilities:

 

  • Manage and execute special projects in accounting and finance triggered by merger and acquisition, private equity investment or IPO transactions
  • Participate in buy-side and sell-side transaction advisory engagements providing financial and operational due diligence assistance and accounting advisory services
  • Build valuation models that reflect detailed business case assumptions, capturing relevant deal information that are flexible to run scenarios/sensitivities
  • Review new deal documents and provide advice on accounting implications of transactions as they progress toward completion
  • Ensure accounting needs are adequately addressed in each purchase agreement to facilitate purchase price allocations, ongoing reporting and any necessary pro forma historical information
  • Assist clients performing consolidation and financial reporting under US GAAP, IFRS and or SEC compliance requirements
  • Support  clients with audit readiness and IPO readiness engagements
  • Work with client management to implement, maintain, and improve appropriate internal controls over accounting and financial reporting
  • Assist clients with the preparation, review, and filing of quarterly and annual filings in accordance with SEC requirements (registration statements and periodic filings)
  • Assist clients with the development of accounting and financial reporting policies and procedures
  • Provide project management support and execution on advisory engagements related to mergers, acquisitions, IPO’s and private equity investments

 

Job Requirements

  • 6+ years of related accounting and finance experience
  • CPA, Big 4 accounting firm experience required, preferably 4-6  years
  • Public company and SEC filing experience preferred
  • Bachelor’s Degree in Accounting, Finance, or Business
  • MBA highly desired
  • Strong oral and written communication skills
  • High level of professionalism and business acumen
  • Strong consultative/client service orientation
  • Excellent management skills
  • Enthusiastic and entrepreneurial  team player
  • Strong  sense of urgency with the ambition to succeed
