Associate General Counsel at New York

Job Description

Classification: Attorney-licensed II 4-9 yrs exp

Compensation: $117,000.99 to $143,000.99 per year

Attorney to provide legal services in support of the custody and securities lending agentbusiness of a NY-State Chartered, FDIC-insured custody bank. Review, negotiate and draft custody and securities lending agreements (i.e. MRAs,MSLAs, GMSLAs, GMRAs), confidentiality agreements; vendor agreements, etc. Assist with corporate governance matters including the preparation of materials forBoard and committee meetings, drafting minutes of meetings, agendas, resolutions,and other corporate governance documentation. General maintenance of the Bankscorporate books and records. Provide general legal support to all areas of the bank including compliance, custodyoperations, client services, risk management and IT areas. Draft legal correspondence, memoranda, contracts, corporate resolutions, etc. Research and provide legal and regulatory advice to the Compliance area regardingnew regulatory developments as needed. Prepare, review and supervise the preparation of regulatory filings as necessary. Assist with regulatory examinations and inquiries as necessary.Qualifications: JD Degree and member of the New York Bar. Ideal candidate will have 3-5 years of experience at in-house legal department of abank/financial services company or law firm specializing in institutional custodyand/or securities lending. Strong familiarity with the following agreements : MRAs, MSLAs, GMSLAs,GMRAs. General corporate experience, contract drafting/negotiation, etc. Excellent organizational skills with the ability to prioritize work and effectivelymanage multiple issues at one time. Independent self-starter with the ability to follow through and get things done in ateam environment. Must be able to prioritize competing tasks that require the highest level of attention todetail and accuracy. Excellent oral and written communication skills are required. Willingness to perform administrative duties as necessary is a must. General knowledge of BSA/AML and general NY state and FDIC bankingregulations a plus.
